VYNOS Terms and Conditions

Effective from 8 October 2026 · This is a courtesy translation. The Slovak version is legally binding.

These terms govern the use of VYNOS by KANIK Advisory and the subscription you order in the client portal. The service is intended exclusively for businesses established in the Slovak Republic.

1. Provider and definitions

The service is provided by KANIK Advisory, s.r.o., registered office Panská 27, 811 01 Bratislava, Slovakia, company ID (IČO): 57 852 863, tax ID (DIČ): 2123315623, not registered for VAT, registered in the Commercial Register of the Bratislava III City Court, section Sro, file no. 203859/B (the "Provider"). Contact: info@kanikadvisory.sk.

  • "Service" means VYNOS by KANIK Advisory: a web application and related advisory that prepare price recommendations, minimum-stay recommendations, competitor comparison, weekly reports and an action plan for an accommodation property.
  • "Client" means a business (individual entrepreneur or legal entity) that uses or orders the Service for its accommodation property.
  • "Portal" means the client part of the application at app.kanikadvisory.com.
  • "Preview" means free, time-limited access to part of the Service before a subscription is ordered.
  • "Property" means the accommodation property for which the Service is provided; a subscription is concluded separately for each property.

2. Conclusion of the contract

The contract for the Service is concluded when the first subscription payment is made in the Stripe payment page the Client reaches from the Portal. Before paying, the Client confirms acceptance of these terms.

The Service can be ordered through the Portal by businesses established in the Slovak Republic. Clients from other countries are served only under an individual agreement.

The contract is governed by the Slovak Commercial Code. The Client declares that it orders the Service in the course of its business; consumer protection rules do not apply.

The Data Processing Agreement published at kanikadvisory.com/en/data-processing forms part of the contract. Individual written agreements take precedence over these terms.

3. Preview

The Provider may give the Client a preview of the Service through a card with a code or a link to the Portal. The preview is free, usually lasts 7 days and does not turn into a paid subscription automatically.

Data entered during the preview are kept so that the Client can continue seamlessly after subscribing.

4. Price and price category

The monthly subscription price per property is:

  • €290 for properties with up to 40 rooms,
  • €390 for properties with more than 40 rooms.

The Provider is not registered for value added tax; the prices are final and no VAT is charged. If the Provider becomes VAT-registered, it will notify the Client at least 30 days in advance and VAT will be applied to the price from the registration date as required by law; the Client may cancel within that period under section 6.

The price category follows the number of rooms the Client states in the Portal or that results from the property data. The Client is responsible for the accuracy of the stated number of rooms. If the actual number corresponds to the higher category, the Provider may charge the higher price from the next period and invoice the difference for previous periods.

Initial setup is included in the price. Connection to the property management system (PMS) and automatic price writing are provided after technical preparation and separate agreement.

The Provider may change the price by notifying the Client by e-mail at least 30 days in advance. The new price applies from the first period after that notice. A Client who disagrees may cancel under section 6.

5. Payment terms and invoices

The subscription is paid monthly in advance by card or another method offered on the Stripe payment page (e.g. Apple Pay, Google Pay). Payments are processed by Stripe Payments Europe, Ltd.; the Provider neither sees nor stores card details.

The subscription renews automatically each month and the payment is collected from the stored payment method on the renewal date until the Client cancels.

The Provider issues invoices electronically and sends them by e-mail to the Client's billing address; the Client agrees to electronic invoicing. Invoices are also available in billing management in the Portal.

If a payment fails, the payment provider retries it automatically. If it still fails after the retries, the subscription ends and the Service is suspended. The Provider restores the Service once the amount due is paid and the subscription is renewed.

6. Term and cancellation

The contract is concluded for an indefinite period with no minimum term.

The Client may cancel at any time in billing management in the Portal (Activation → Manage billing) or by e-mail to info@kanikadvisory.sk. Cancellation takes effect at the end of the paid monthly period; the Service remains available until then.

Payments for a started monthly period are not refunded unless agreed otherwise or required by mandatory law.

The Provider may terminate the contract with 30 days' notice by e-mail. It may terminate immediately or suspend the Service if the Client materially breaches the contract, in particular by misusing the Service, providing false information or failing to pay.

7. Scope of the Service and connection levels

The Service is provided in connection levels chosen by the Client:

  • Recommendations (L1) — the Service recommends prices and minimum stay; the Client sets them in its own system.
  • Connected (L2) — the Service pulls reservations and prices from the PMS and writes approved prices back.
  • Autopilot (L3) — the Service writes prices continuously within guardrails agreed with the Client.

L2 and L3 are enabled only after technical preparation and the Client's explicit consent; payment alone never enables them. The Client may ask for PMS writing to be switched off at any time, and the Provider may suspend it at any time for safety reasons.

The Provider develops the Service continuously and may change its features provided the agreed scope is not materially reduced.

The Provider aims for continuous availability but does not guarantee it. Planned maintenance limiting availability is announced in advance where possible.

8. Client obligations

  • Provide true and complete property data (in particular room count, price list and contacts) and keep them up to date.
  • Protect Portal credentials and the access card; access through them is deemed access by the Client.
  • Upload only data the Client is entitled to process, to the extent necessary for the Service.
  • Not use the Service unlawfully or interfere with its technical operation.

9. Nature of recommendations and liability

Price and other recommendations result from analysing available data (the Client's own data, market and competitor data, demand calendar). They are recommendations, not a guarantee of occupancy, revenue or any other result. Pricing decisions remain with the Client, including at L2 and L3 within the guardrails the Client approved.

The Provider is not liable for damage caused by incorrect or incomplete data from the Client or third parties (e.g. the PMS, booking portals), outages of third-party systems, or the Client's decisions.

To the extent permitted by law, the Provider's total liability under the contract is limited to the subscription fees paid by the Client for the 3 months preceding the damage. The limitation does not apply to damage caused intentionally or by gross negligence.

10. Client data and data protection

Data the Client enters into or makes available to the Service (reservations, price lists, PMS data) remain the Client's property. The Provider uses them to provide the Service, to develop and improve it under the next paragraph, and to meet legal obligations.

The Client grants the Provider a free, non-exclusive, perpetual right to use data about the property and its performance (prices, availability, reservations, recommendations and their outcomes) in pseudonymised form, without guest personal data, to develop, test and train the Service's models and methods, including in combination with other clients' data. The Provider will not disclose the property's identity or provide it to third parties, and will not derive or publish information about a specific property from such data. This right survives termination.

For guest personal data contained in the Client's data, the Provider acts as processor under the Data Processing Agreement. Processing of the Client's and its contacts' personal data is described in the Privacy Policy.

Data are stored on servers in the European Union. After the contract ends, the Provider returns the Client's data on request in a common machine-readable format and within 90 days deletes data that identify the Client or the property, except data it must keep by law (in particular accounting records). Pseudonymised data under the previous paragraph are retained.

11. Intellectual property

The application, methodology, calculations and texts of the Service are the Provider's intellectual property. The Client receives a non-exclusive, non-transferable right to use the Service and its outputs (reports, recommendations) for its property during the contract; outputs created during the contract may be used after it ends.

12. Complaints and communication

The Client reports defects of the Service and billing complaints by e-mail to info@kanikadvisory.sk without undue delay. The Provider usually responds within 5 business days.

Notices under the contract are delivered by e-mail to the addresses stated in the Portal or to the Client's billing address.

13. Changes to the terms

The Provider may change these terms by notifying the Client by e-mail at least 30 days before the change takes effect. A Client who disagrees may cancel as of the effective date; otherwise the change is deemed accepted.

14. Final provisions

The contract is governed by the law of the Slovak Republic. Disputes will be resolved by the competent Slovak courts.

If any provision proves invalid, the remaining provisions stay in force.

These terms are effective from 8 October 2026.
